End User License Agreement

The merchant dashboard is intended for merchants who install WallaB.AI and the staff they authorize. The shopper portal is made available to a merchant's subscription customers as part of the Service.

The Service is not intended for individuals under the age of 18.

WallaB.AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for:

• •Managing subscription retention for your store (offers, pauses, swaps, skips, cancellations)
• •Configuring and supervising WallaB, the AI retention assistant, within limits you control
• •Viewing analytics, activity logs, and AI conversation transcripts for your shop
• •Offering your subscribers self-serve subscription management through the portal

This license is granted only for your internal business use in connection with your store.

You agree not to:

• •Reverse engineer, decompile, or attempt to extract source code
• •Modify or create derivative works of the Service
• •Attempt unauthorized access to any part of the Service or to other merchants' data
• •Use the Service in violation of any applicable law, Shopify's terms, or consumer-protection rules
• •Use the AI assistant to generate deceptive, discriminatory, or unlawful offers or messaging
• •Share login credentials outside your authorized staff

• •Maintain the confidentiality of your login credentials
• •Ensure only authorized personnel access your merchant account
• •Promptly notify WallaB.AI of unauthorized access

WallaB.AI may suspend or terminate accounts at its discretion.

The Service includes an AI assistant that converses with your subscribers (for example, when they attempt to cancel) and can propose retention offers.

• •You control the limits: maximum discount, allowed offer types, pause durations, and tone are configured by you, and every AI-proposed offer is validated against your settings server-side before it is applied
• •You are responsible for the offers made within the limits you configure, and for ensuring they comply with your own policies and applicable law
• •AI-generated content can be imperfect; transcripts and audit records of every conversation are available in your dashboard
• •WallaB conversations are subject to automated monitoring and filtering; abusive use may result in the conversation being ended, while the plain cancellation path always remains available
• •Your subscribers always retain a plain cancellation path that does not require interacting with the AI

The Service operates as a Shopify app. Subscription purchases and recurring charges are processed by Shopify Checkout and the merchant's payment gateway — never by WallaB.AI.

• •The Service does not process payments, store payment credentials, or hold funds
• •Fees for the Service itself are billed through Shopify's app billing
• •Your use of Shopify remains subject to Shopify's own terms and policies

Subscription records, retention analytics, event logs, and AI conversation transcripts become part of the Service's operational records, are visible to you in your dashboard, and are handled per our Privacy Policy. On uninstall, shop data is removed in accordance with Shopify's data-removal requirements.

You agree to indemnify and hold harmless WallaB.ai from any claims arising from:

• •Unauthorized use of your account
• •Misuse of the Service
• •Offers or messaging you configure or approve
• •Violation of this Agreement

WallaB.AI may suspend or terminate access:

• •If you uninstall the app or your Shopify store closes
• •For misuse of the Service
• •For security concerns
• •At WallaB.AI's discretion

Termination does not affect records retained as described in the Privacy Policy.

WallaB.AI may update this Agreement at any time. Continued use of the Service constitutes acceptance of the revised Agreement.

This Agreement shall be governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles.

Any disputes shall be resolved in the state or federal courts located in Virginia.
